Certificate of Incorporation:
After scrutinizing the documents filed and on being satisfied that they are in order, that the requisite fee has been paid and all other legal requirements have been duly complied with, the Registrar will enter the name of the company in register of companies and shall certify under his hand that the company is incorporated and in the case of a limited company that the company is limited. The certificate is issued by the Registrar is called as 'the Certificate of Incorporation.' This certificate is conclusive evidence that all requirements of the act have been complied with in respect of registration,
Provisional Contracts:
Contracts which are enter into by a public company after obtaining the certificate but before getting the certificate of commencement of business are known as provisional contracts because they are not binding on the company until the company is entitled to commence business and on this day they shall become binding without any need for gratification Section (149) (4).
